These Terms and Conditions ("Terms") constitute a binding agreement between you ("Customer," "you," or "your") and FindMeLeads.ai, Inc. ("FindMeLeads.ai," "we," "us," or "our"), a California corporation with its principal office at 42161 Delmonte St, Temecula, CA 92591, governing your access to and use of our AI-driven platform for generating B2B sales leads ("Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

1. Access to the Service

1.1 Eligibility: You must be at least 18 years old and have the legal authority to enter into these Terms. The Service is not intended for individuals under 16, in compliance with the California Consumer Privacy Act (CCPA). We do not knowingly collect personal information from children under 16. If you are a parent or guardian allowing a minor aged 16-17 to use the Service, you are responsible for their activities.

1.2 License: Subject to these Terms, FindMeLeads.ai grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or otherwise distribute access to the Service without our prior written consent.

1.3 Account: You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at support@findmeleads.ai if you suspect unauthorized access.

1.4 Service Availability: We strive to make the Service available 24/7, but we may suspend access for scheduled maintenance, emergency repairs, or if you breach these Terms. We will provide reasonable notice of material changes to the Service that adversely affect your use, in accordance with California Business and Professions Code § 17940.

2. Restrictions on Use

You agree not to, and will not permit any third party to:

  • Reverse engineer, decompile, disassemble, or attempt to discover the source code, algorithms, or underlying structure of the Service or its AI models, except where permitted by applicable law.

  • Use the Service to develop, train, or enhance competing AI models, systems, or services.

  • Upload or share content that violates third-party rights, including intellectual property or privacy rights, or that is illegal, defamatory, harmful, or fraudulent.

  • Scan, test, or attempt to breach the Service’s security measures or API restrictions.

  • Use the Service for unlawful purposes or in violation of applicable laws, including privacy laws like CCPA or GDPR (where applicable).

  • Share your account credentials or allow unauthorized access to the Service.

3. User-Generated Content

3.1 Ownership: You retain ownership of any data or content you upload to the Service ("User Content"). By uploading User Content, you grant FindMeLeads.ai a worldwide, non-exclusive, royalty-free license to use, store, process, and display User Content solely to provide the Service. We do not use User Content to train our AI models. However, certain third-party services we use may process User Content for their own AI training purposes, as described in our Privacy Policy.

3.2 Responsibility: You are responsible for ensuring User Content complies with these Terms and applicable laws. We may remove User Content that violates these Terms or is reported as infringing third-party rights.

4. Fees and Payment

4.1 Subscription Plans: Fees and payment terms are outlined in your subscription plan or order form. All fees are non-refundable except as required by law or specified in your plan.

4.2 Adjustments: We may adjust fees annually based on the U.S. Consumer Price Index (CPI), with notice provided at least 30 days before the change takes effect, in compliance with California Business and Professions Code § 17940.

4.3 Payment: Payments are due as specified in your plan. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. We may suspend access for non-payment after 10 days’ notice.

4.4 Taxes: Fees exclude applicable taxes, which you are responsible for paying unless you provide a valid tax exemption certificate.

5. Confidentiality

5.1 Definition: "Confidential Information" includes non-public information disclosed by one party to the other, such as business plans, technical data, or customer data, but excludes information that is publicly known, independently developed, or required to be disclosed by law.

5.2 Obligations: Each party will protect the other’s Confidential Information with at least the same care as its own and will not disclose it to third parties except as necessary to provide the Service or as permitted by law. Upon termination, each party will return or destroy the other’s Confidential Information, except for backups retained for legal compliance.

6. Intellectual Property

6.1 FindMeLeads.ai Property: The Service, including its AI models, software, and documentation, is owned by FindMeLeads.ai or its licensors and protected by intellectual property laws. You receive no ownership rights except the license granted in Section 1.2.

6.2 Feedback: If you provide feedback or suggestions about the Service, we may use it without obligation to you.

7. Data Privacy

Your use of the Service is subject to our Privacy Policy, which details how we collect, use, and protect your personal data. You agree to provide legally adequate privacy notices and obtain necessary consents for any personal data you process via the Service, in compliance with CCPA and CalOPPA. You acknowledge that third-party services may use your data for AI training, as disclosed in the Privacy Policy.

8. Term and Termination

8.1 Term: These Terms begin when you accept them or first access the Service and continue until terminated.

8.2 Termination: You may terminate by closing your account. We may terminate or suspend your access for breach of these Terms, non-payment, or if required by law, with notice where feasible. Upon termination, you must cease using the Service, and we may delete your data after 30 days, except as required by law.

8.3 Survival: Provisions that by their nature should survive termination (e.g., confidentiality, payment obligations, liability limitations) will remain in effect.

9. Warranties and Disclaimers

9.1 Limited Warranty: We warrant that the Service will perform substantially as described in our documentation under normal use. Your sole remedy for breach is repair or, if repair is not feasible, a pro-rata refund of fees paid for the affected period.

9.2 Disclaimer: EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF LEADS GENERATED BY THE SERVICE.

10. Limitation of Liability

10.1 Cap: To the maximum extent permitted by law, FindMeLeads.ai’s total liability for any claim arising from these Terms or the Service will not exceed the fees paid by you in the 12 months preceding the claim.

10.2 Exclusion: Neither party will be liable for indirect, consequential, punitive, or special damages, including lost profits or data, even if advised of the possibility, except as required by California law.

11. Indemnification

You agree to indemnify and defend FindMeLeads.ai and its affiliates against third-party claims arising from your use of the Service, breach of these Terms, or violation of applicable laws, including claims related to User Content or privacy obligations under CCPA or CalOPPA.

12. Modifications

We may update these Terms to reflect changes in the Service, legal requirements, or our business practices. We will notify you of material changes via email or the Service at least 30 days before they take effect (or upon renewal for material changes), as required by California Business and Professions Code § 17940. Your continued use after the effective date constitutes acceptance.

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

13.2 Disputes: Any disputes will be resolved through binding arbitration in Riverside County, CA, under the American Arbitration Association’s rules, except that either party may seek injunctive relief in court for intellectual property or confidentiality breaches. You waive any right to a jury trial or class action, in compliance with California Code of Civil Procedure § 1281.

14. Miscellaneous

14.1 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger or sale.

14.2 Entire Agreement: These Terms, along with the Privacy Policy and any order form, constitute the entire agreement between you and FindMeLeads.ai, superseding prior agreements.
